3. Client Responsibilities
Clients agree to:
– Provide accurate and complete information required to deliver services.
– Cooperate with our team to ensure timely execution of projects.
– Obtain all necessary rights, licenses, or permissions for content, data, and materials supplied to us.
– Use our services only for lawful purposes and not for harmful, fraudulent, or unethical activities.
4. Intellectual Property Rights
– All intellectual property, source code, designs, documentation, and materials created by the Company during a project will remain the property of the Company until full payment has been received.
– Upon full payment, ownership of deliverables (except pre-existing tools, frameworks, or third-party components) will be transferred to the client, as specified in the project contract.
– Clients may not copy, resell, or redistribute our software, code, or designs without our written consent.
5. Payment Terms
– Payment terms will be defined in project agreements or invoices.
– Late payments may result in suspension of work or services until dues are cleared.
– All fees are non-refundable unless otherwise expressly agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the course of engagement. We will take reasonable steps to protect client data, and clients agree not to disclose our internal processes or proprietary methods to third parties.
7. Third-Party Services
Our services may involve third-party software, tools, plugins, hosting, or APIs. We are not responsible for the performance, changes, or availability of third-party services, though we will make reasonable efforts to ensure smooth integration.
8. Warranties and Limitations
– We strive to provide high-quality services, but we do not guarantee that every website, application, or software will be error-free or operate without interruption.
– We are not responsible for damages or losses arising from misuse, third-party actions, or technical limitations beyond our control.
– Except as expressly provided, all services are provided “as is” without warranties of any kind.
9. Limitation of Liability
To the maximum extent permitted by law, our liability for any claim related to our services will be limited to the amount paid by the client to us for the specific project or service giving rise to the claim.
10. Indemnification
Clients agree to indemnify and hold harmless JVW, its employees, and affiliates against any claims, damages, liabilities, or expenses arising from:
– Content, data, or materials provided by the client.
– Misuse of our services.
– Infringement of intellectual property rights based on client-provided inputs.
11. Force Majeure
We are not liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, cyberattacks, or government actions.
12. Termination
– Either party may terminate an engagement in accordance with the terms of the project contract.
– We reserve the right to suspend or terminate client access to our services for breach of these Terms, non-payment, or unlawful activities.
– Upon termination, outstanding fees remain payable, and intellectual property rights will revert as per contract.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India. For international clients, disputes may be subject to arbitration or mediation as per applicable project agreements.
14. Modifications to Terms
We may update these Terms from time to time to reflect changes in our business practices, services, or legal requirements. Updates will be posted on this page with a revised “Last Updated” date. Continued use of our services after updates constitutes acceptance of the revised Terms.
